How Does a 1031 Exchange Work for Farmland?

Quick answer: A 1031 exchange lets you sell farmland and defer all capital gains tax by immediately reinvesting into other qualifying real property. You get 45 days to identify your replacement property and 180 days total to close. A qualified intermediary holds the proceeds โ€” you never touch the cash. This works for farmland-to-farmland, farmland-to-commercial, or any real property swap.

The Mechanics: 45 Days and 180 Days

The clock starts the day you close on the sale of your relinquished property. Within 45 days, you must identify potential replacement properties in writing to your qualified intermediary (QI) โ€” you can identify up to 3 properties regardless of value, or more under certain rules. Within 180 days total (or the due date of your tax return, whichever is earlier), you must close on the replacement property. These deadlines are absolute โ€” there is no IRS extension for personal reasons.

For a full tax deferral, the replacement property must be equal or greater in value than the property sold, and all equity must be reinvested. If you take any cash out ("boot"), you pay capital gains on that amount. The tax is only deferred, not eliminated โ€” your basis in the new property carries over, meaning taxes are eventually owed when you finally sell without exchanging.

What Qualifies as "Like-Kind" for Farmland

The "like-kind" rule for real property is much broader than most people expect. Farmland can be exchanged for:

What does NOT qualify: your personal residence, inventory (crops or livestock held for sale), partnership interests, or personal property. The land must be held for productive use in a trade or business or for investment โ€” not for personal use.

Common Farmland 1031 Mistakes to Avoid

The most common mistake is waiting too long to engage a qualified intermediary. Your QI must be in place before you close on the sale โ€” if the sale closes without one, you've already received constructive receipt of the funds and disqualified the exchange. You also cannot use your attorney, accountant, agent, or a family member as your QI. Start the process at least 30 days before your sale closes, and run the numbers with your CPA to understand your deferred gain and the long-term carry-basis implications before committing.
